The interesting thing about this case is the term fee. Spirit had to break off w/ Frontier for this deal, despite knowing the regulatory risk. So JetBlue promised, I think? a $400 term fee directly payable to SHs, plus $70 mill to Spirit. But the $400 mill was to be prepaid in incremental amounts starting from when SH's voted in favor of the deal, and would reduce merger consideration if the deal went thru. -
